Terms of Service

1. Acceptance of Terms

By accessing or using the LoudPixel website, our API, our MCP server, our attribution pixel (the "Pixel"), or any services provided by LoudPixel (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a binding legal agreement between you ("Customer" or "You") and LoudPixel. If you do not agree to these Terms, you must immediately cease all use of the Services.

2. Description of Services & AI Limitations

LoudPixel provides AI search visibility auditing, generative search optimization (GEO) recipes, rank tracking, and analytics attribution.

Disclaimer of Generative Outcomes: You acknowledge and agree that generative AI search engines (including but not limited to ChatGPT, Perplexity, Claude, Gemini, Grok, and Mistral) are operated by third parties and utilize non-deterministic, probabilistic algorithms. AI responses, citations, and visibility ratings can fluctuate dynamically based on model updates, prompt variations, and regional configurations. LoudPixel does not warrant, represent, or guarantee that using the Services will result in specific citation rankings, search visibility increases, indexation, or business outcomes. The Services are provided on an "as-is" and "as-available" basis.

3. Billing & Merchant of Record

Merchant of Record: All subscription and credit pack payments are handled by LemonSqueezy (our "Merchant of Record"). By purchasing Services, you also agree to LemonSqueezy’s Terms of Service and Privacy Policy.

Subscription Renewals & Cancellations: Subscriptions are billed on a recurring monthly or annual basis. You may cancel your subscription at any time through your LemonSqueezy billing portal. Cancellations apply to the next billing cycle; no partial refunds are provided for the remaining days of a billing period.

4. Credits & Usage Policies

Credit Packs: Credits purchased via one-time packs (e.g., the 150-Credit Pack) are valid for twelve (12) months from the date of purchase. Any unused credits after 12 months will automatically expire and are non-refundable.

Subscription Credits: Monthly credits allocated to Pro (1,500 credits) and Premium (4,000 credits) plans are allocated at the start of each billing cycle and do not roll over. Unused monthly credits expire at the end of the billing cycle. Credits have no cash value and cannot be redeemed, transferred, or exchanged.

5. Installation of the Attribution Pixel

If you install the LoudPixel attribution pixel (the "Pixel") on your website, you represent and warrant that:

  • You will maintain a conspicuous, legally compliant privacy policy on your website that accurately discloses your use of third-party analytics and tracking tools, including the collection of cookieless visitor data and IP-derived fingerprints.
  • You will obtain all legally required visitor consents and provide all necessary opt-out mechanisms under applicable local laws (including GDPR, CCPA, and ePrivacy Directives).
  • You will never pass Personally Identifiable Information (PII), such as raw names, emails, phone numbers, or social security numbers, into the Pixel's custom goal properties. Any custom properties must be pre-hashed or anonymized on your servers.

6. Acceptable Use and Restrictions

You agree not to:

  • Reverse-engineer, scrape, automate, crawl, or mass-extract any data, metrics, or source code from the LoudPixel platform.
  • Use LoudPixel's workflows or scan reports to train or validate competing SEO, GEO, AEO, or machine learning models.
  • Use the Services to scan, crawl, or submit URLs that contain malicious software, illegal content, or infringe upon third-party intellectual property rights.

7. Limitation of Liability

IN NO EVENT SHALL LOUDPIXEL, ITS FOUNDERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SERVICES, REGARDLESS OF THE LEGAL THEORY.

LoudPixel’s aggregate liability for all claims arising out of or relating to the use of the Services shall not exceed the total amount paid by You to LoudPixel (via LemonSqueezy) during the twelve (12) months immediately preceding the event giving rise to liability.

8. Indemnification

You agree to defend, indemnify, and hold harmless LoudPixel, its contractors, and licensors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, privacy, or third-party Terms of Service violation; or (iv) any claim that your website or submitted URLs caused damage to a third party.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to its conflict of law provisions. Any dispute arising from these Terms or the Services shall be resolved through binding arbitration in Montreal, Quebec, except that either party may seek injunctive relief in any court of competent jurisdiction.
